The underlying objective of this research is to set out the preliminary binding and non binding agreements that might be concluded during the negotiations, to demonstrate whether those agreements are legally binding and enforceable, and the reasons for which the so-called negotiation agreement is not unenforceable under the Egyptian law. This research also addresses the substantial obligation of good faith that is binding on the parties of the negotiation, which finds its sources in the provisions of the Egyptian Civil Code and the Islamic Law governing the non-contractual relationship.
